Company documents, resolutions and contracts certified for overseas boards, registries and counterparties.
What this covers
I am a lawyer with experience in company and commercial law, and work directly with accountants and investment professionals. Notary Northampton therefore certifies the full range of business documents foreign registries and counterparties ask for — and can usually accommodate directors at short notice, in person at the Northampton office.
Typical documents
- Constitutional documents — Certificates of incorporation, memoranda & articles, statutory registers for UK or foreign companies.
- Board resolutions & minutes — Certified copies of resolutions, minutes and written consents for banks and registries abroad.
- Good standing & KYC — Certifications of company status and of the identity and authority of directors and officers.
- Contracts & finance — Commercial contracts, commercial mortgages, loan and international finance documents.
- Shares & IP — Issues, transfers and sales of shares; assignments, trade mark statements and IP documents.
- Accountant & audit letters — Certification of accountant letters, audit reports and financial statements for foreign tax authorities.
